Terms of Service

Last updated: October 10, 2026

The short version: NimbusWatch is a monitoring service that watches your website’s uptime and latency and reads your AWS account (spend, security posture, cost waste) so you get a simple alert when something breaks or costs too much. We only ever read your AWS account and never change anything in it. Paid plans are monthly subscriptions; cancel anytime and your access runs until the end of the current billing period (no prorated refunds). Every account starts on the Free plan. You're only charged when you choose to subscribe to a paid plan.

1. What this agreement covers

These Terms of Service (“Terms”) are an agreement between you (the person or organization using the service) and 4 Pi Labs LLC, a Texas limited liability company doing business as NimbusWatch (“we”, “us”, “our”). They cover your use of the NimbusWatch website and monitoring service (together, the “service”). By creating an account or using the service, you agree to these Terms. Our Privacy Policy is part of this agreement and explains what data we handle and how.

2. What the service does

When you connect your website and your AWS account, the service:

  • checks your website or app on a schedule and records whether it was up and how fast it answered (uptime and latency monitoring);
  • reads your month-to-date AWS spend and compares it against a budget you set (spend tracking);
  • scans your AWS account’s security posture for common misconfigurations (opt-in, read-only);
  • looks for AWS cost waste (resources billing around the clock while doing nothing, or sized far bigger than their traffic needs) and puts a monthly dollar figure on each finding it can price (opt-in, read-only); and
  • sends you an alert, in the app, to Slack if you connect one, or by email (Slack and email are Starter and up), when something goes down or slows down, when your AWS spend passes your budget, or when a scan you switched on finds something to fix.

The service translates cloud reality into plain English. It is a monitoring and alerting tool. It watches and reports; it does not run your infrastructure for you.

3. Your account

You need an account to use the service. You must give us a real email address and keep your password safe. Anyone who signs in from your account is your responsibility, so please treat your credentials the way you would treat keys to your office. Accounts are for one person: team seats are not offered yet. If you believe your account has been compromised, let us know right away through the contact details at the end of these Terms.

4. What we may do with your AWS account

NimbusWatch never makes a change in your AWS account. It never creates, changes, deletes, starts or stops anything in it. Every action the IAM policy we provide grants only reads your account, with one exception: iam:GenerateCredentialReport. AWS labels that one a Write action, but it only asks IAM to compile a report about your account and changes nothing. We read what you asked us to watch (spend data, security posture and resource metrics) and we store the results (spend totals, scan findings, and the estimated dollar amounts attached to cost-waste findings) so you can see history in your dashboard.

By connecting an AWS account you confirm that you are authorized to give us this read-only access. You can revoke it at any time: disconnect the account in your settings, and remove the access key or role yourself from your AWS console. The moment you do, we can no longer read anything.

5. Plans, billing and cancellation

Free plan. The Free plan gives you one website monitor, in-app alerts and monitor history, and no AWS connections, which means no spend tracking, security scanning or cost-waste detection (the security scan is included on Starter and above; cost-waste detection on Pro and Scale). No card is needed for the Free plan.

Paid plans. Paid plans are monthly recurring subscriptions, billed in advance in US dollars at the price shown on the plans page: Starter, Pro and Scale. Payments are processed by Stripe, a third-party payment provider. We never see or store your full card number. The price is shown before you confirm: Stripe’s checkout page shows it when you first subscribe, and when you move up to a higher plan you see the amount charged that day — including the credit for the unused part of the plan you are leaving — before anything is charged. Each month renews automatically on your billing date until you cancel.

Cancellation. You can cancel a paid plan at any time: use the Cancel subscription control on your account settings page, or email support@nimbuswatch.com. Cancellation takes effect at the end of the current billing period: if you cancel partway through a month you have already paid for, you keep full access until that period ends, and you are not charged again after it ends.

7-day money-back guarantee. Subscriptions are billed monthly in advance. A paid plan carries a 7-day money-back guarantee. Dissatisfied customers may request a refund within 7 days of purchase. For this guarantee the 7 days run from the day your paid subscription started, not from a later renewal. Claims go through support: email support@nimbuswatch.com. There is no self-service refund button, and the refund is made by us by hand in Stripe — it is never automatic and nothing is credited to you automatically. Outside that, there are no prorated refunds for the unused portion of a period you already paid for.

Changing plans. You can move up to a higher paid plan from the plans page. Nothing is charged by the first press of the upgrade button: it shows you the amount charged that day, the credit for the unused part of the plan you are leaving, and your next billing date, and only a second, explicit press charges it. That change is applied to the subscription you already have, and your next payment is at the new price on the same billing date. Moving down to a lower paid plan is not self-service yet; the plans page says so. To go back to the Free plan, cancel — your paid plan ends at the end of the current billing period, and the Free plan’s limits (one monitor, no AWS connections) apply from then.

Failed payments. If a payment cannot be collected (for example, an expired card), we cannot email you about it yet, and the card on file has to be replaced by you: use Update your card on your dashboard, which opens the Stripe-hosted page where the new card is entered. If that page will not open, write to support@nimbuswatch.com. Your plan stays where it is while the payment is outstanding, and the limits you have paid for keep applying. If the charge is never collected, Stripe ends the subscription and your account returns to the Free plan.

Referral credit. Every account gets one personal referral link and code, shown on the Referrals page in the app. Share it as widely as you like: the link and the code can be used by any number of friends. When someone creates a new NimbusWatch account through your link, they get 25% off their first month of a paid plan. We apply that discount automatically when they check out, so they never type a code. When your friend pays for their first month, you earn credit equal to 25% of that plan’s published first-month price: about $2.25 on Starter, $7.25 on Pro, or $19.75 on Scale. The credit is booked as pending, and it becomes available 30 days after your friend’s first payment. We then add it to your own Stripe customer balance, and it is applied automatically to your own future NimbusWatch invoices.

Referral credit is account credit only. It is not cash, it has no cash value, it cannot be paid out, refunded or transferred to anyone else, and it can only ever pay us. It does not expire. One account can earn at most US$500.00 of credit over the life of the programme; referrals that would take an account past that cap earn nothing further. Credit is applied only to your own paid invoices, so if you are on the Free plan it stays on your account until you subscribe and there is an invoice for us to apply it to. We may change the programme or end it at any time (Section 12), but credit you have already earned and that has matured stays yours and will be applied to your own future invoices as described here. If we refund the referred customer’s first payment, no credit is earned for that referral and any credit already booked for it is void. A referral earns nothing where the referred account is yours or is being worked with you: an account created through your own link using your own email address is void, and we may void credit, and suspend accounts, for referrals we reasonably consider fraudulent, self-serving, or an attempt to game the cap.

6. Alerts

Alerts are sent when a check fails or gets slow, when your AWS spend passes your budget, or when a scan you switched on finds something to fix. We work hard to make them timely, and to de-duplicate them: a four-hour outage produces one “down” alert, not one for every check (sixteen checks on Starter’s 15-minute schedule, four on Free’s hourly one), and a single “back up” alert when it recovers. NimbusWatch does not guarantee that every problem will be caught: checks run on a schedule, a short blip can slip between two checks, and Slack or email delivery depends on those services themselves. Alerts are best-effort and do not replace keeping an eye on the things that matter most to you.

7. Acceptable use

You agree not to use the service to:

  • break any law or regulation, or infringe anyone else’s rights;
  • probe, scan, attack, degrade or interfere with systems you do not own or do not have written permission to test. The monitors you add must be your own sites and endpoints you are allowed to watch;
  • send spam, phishing, malware, or other abusive content; interfere with or disrupt the service, other users’ accounts, or the infrastructure it runs on; attempt to bypass plan limits; resell or sublicense the service without permission from us;
  • use the service to make decisions about people’s health, safety, or eligibility for credit, housing, or employment in a way that would require a regulated service.

We may suspend or terminate accounts that violate these rules. If we suspend or terminate your account for breach, you are not entitled to a refund for any unused paid period. This does not affect the 7-day money-back guarantee in Section 5.

8. Your data stays yours: what we keep

You keep everything you connect to the service: your website and app, your AWS account, your code and your data. We never take ownership of what you connect. The service does store the monitoring data it produces for you (check results, spend totals, scan findings and alert history) so your dashboard can show history. Our Privacy Policy describes exactly what is stored, how it is protected, and how long it is kept.

9. Disclaimer of warranties

The service is provided “as is” and “as available”, without warranties of any kind, express or implied (including warranties of merchantability or fitness for a particular purpose). In particular, we do not warrant that the service will be uninterrupted, error-free, or that it will catch every outage, slowdown, security issue or dollar of waste in your cloud account. Monitoring reduces surprises; it does not eliminate them.

10. Limitation of liability

To the maximum extent permitted by law, NimbusWatch (and its owners, employees and contractors) is not liable for indirect, incidental, special or consequential damages (including lost profits, lost revenue, lost data, or business interruption) arising out of your use of the service. Our total liability for any claim related to the service is limited to the greater of (a) the amounts you paid us in the twelve months before the claim, or (b) US$100. Some jurisdictions do not allow certain limitations, in which case they do not apply to you.

You are responsible for the decisions you make from the numbers we show you: a cost-waste estimate is an estimate, a security finding is a signal to double-check, not a guarantee that nothing else is wrong.

11. Termination

You can stop using the service and close your account at any time (see Section 5 for cancelling a paid plan, and the Privacy Policy for deleting your account and its data). We may suspend or terminate your access if you breach these Terms, if continuing to provide the service to you would break the law or create a risk to the service or other users, or if we stop offering the service (with reasonable notice where practical). When your account is closed, your data is deleted from our systems in line with the Privacy Policy, subject to periods we keep where the law requires us to.

12. Changes to these Terms

We may update these Terms from time to time. When we do, the “last updated” date at the top of this page changes, and material changes are announced on the NimbusWatch website. If a change materially affects you, we will let you know by a notice on the site before the change takes effect. Continuing to use the service after a change takes effect means you accept the updated Terms.

13. Governing law

These Terms and any dispute arising out of or relating to them, or to your use of the service, are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. You and we agree that any such dispute will be resolved in the state or federal courts located in Texas, and you and we consent to their jurisdiction.

14. Contact

Questions about these Terms, or about your account, your data, or a dispute? Email us at support@nimbuswatch.com, or reach us through the NimbusWatch website at www.nimbuswatch.com. The site’s home page continues to be the simplest place to find the right person. Before any formal proceeding, please give us a chance to sort out the problem directly; we’d much rather fix it than argue about it.
